These Terms of Service (“Terms”) form a binding agreement between you and Road Trades, LLC (“RoadTrades,” “we,” “us,” or “our”) and govern your access to and use of roadtrades.com and the related products, tools, features, and services we offer (collectively, the “Service”). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that entity, and “you” refers to that entity.
You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under applicable law.
We may modify these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Changes are effective when posted unless otherwise stated. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
RoadTrades is an online marketplace and software platform that connects Tradespeople with Recruiters and provides career and workforce tools. RoadTrades is not an employer, staffing agency, labor contractor, or party to any employment, engagement, placement, or staffing arrangement between Tradespeople and Recruiters or companies. We do not employ Tradespeople, do not run payroll, do not withhold or remit taxes, do not provide benefits, and do not supervise, direct, or control any work.
All hiring decisions, employment paperwork, onboarding, wages, per diem, hours, scheduling, working conditions, and the terms of any engagement are determined solely between the Tradesperson and the Recruiter or company. We make no representations or guarantees that: (a) a Tradesperson will obtain work; (b) a Recruiter will find suitable candidates; (c) any job, rate, per diem, or duration described will be offered, honored, or accurate; or (d) any user is who they claim to be or is qualified, reliable, or trustworthy. You are solely responsible for your interactions, agreements, and dealings with other users, and for performing your own due diligence (including verifying identities, credentials, licenses, and the legitimacy of any job or party).
You may cancel a paid subscription at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and you will retain paid access until then. Except where required by law, fees already paid are non-refundable and we do not provide refunds or credits for partial billing periods.
You retain ownership of the User Content you submit. You grant RoadTrades a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt (for formatting), and distribute your User Content as necessary to operate, provide, and improve the Service. You represent that you have the rights to submit your User Content and that it does not violate any law or third-party right. You are responsible for the accuracy, completeness, and legality of your User Content.
By creating, uploading, or maintaining a resume or profile on the Service, you authorize: (a) RoadTrades to display your resume, profile, and credentials to Recruiters through the Service, including in recruiter talent search; and (b) Recruiters to share a blinded copy of your resume — a copy from which your contact details (such as your phone number and email address) have been removed — with their clients and prospective employers for placement purposes. Your contact details, and the contact details of any references you list, are shared with a Recruiter only when you apply to that Recruiter’s posting or choose to release them to that Recruiter.
Recruiters may use resumes, profiles, exports, and other candidate information obtained through the Service solely to evaluate, contact (where authorized), and place candidates. Reselling candidate information, bulk redistribution, scraping, and sharing candidate information for any purpose other than filling a position are prohibited and may result in suspension or termination of the Recruiter’s account.
Our tools may add completed engagements to your resume only after a confirmation process in which both you and the relevant Recruiter attest that you performed the work. You are responsible for reviewing your resume for accuracy. We do not guarantee that any confirmation, badge, or history entry is accurate, and we are not responsible for hiring or other decisions made in reliance on them.
Completion badges and related tags are issued at a Recruiter’s sole discretion and are informational only. They are provided “as is,” may be incomplete, and do not constitute a guarantee, endorsement, or certification by RoadTrades. RoadTrades is not liable for the issuance, non-issuance, content, or use of any badge or tag.
The Service includes tools such as a per-diem/tax-home tracker, expense tracker, multi-state day/location log, take-home estimators, and similar features. These tools are provided for informational and convenience purposes only and do not constitute tax, legal, accounting, financial, or other professional advice. Outputs may be estimates and may not reflect your specific circumstances or current law. You are solely responsible for your tax, legal, and financial decisions and should consult a qualified professional. RoadTrades is not responsible for any reliance on these tools.

RoadTrades does not independently verify the identity, qualifications, certifications, licenses, background, or eligibility to work of any user, except where expressly stated. Any verification features are provided on a reasonable-efforts basis and should not be relied upon as a substitute for your own checks. You are responsible for conducting any background checks or verifications in compliance with applicable law.
The Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by RoadTrades or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. “RoadTrades,” our logos, and related marks are our trademarks; you may not use them without our prior written permission. All rights not expressly granted are reserved.
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without obligation or compensation to you.
The Service may integrate with or link to third-party services (such as payment processing, login providers, and analytics). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information. By using the Service, you consent to those practices.
THE SERVICE AND ALL CONTENT, TOOLS, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY JOB, CANDIDATE, CONNECTION, PAYMENT, OR OUTCOME WILL RESULT FROM USING THE SERVICE. ANY MATERIAL OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK.
You acknowledge that interactions with other users carry inherent risks. You are solely responsible for your dealings with Tradespeople, Recruiters, and companies, including any in-person meetings, travel, work performed, and payment arrangements, all of which occur at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROADTRADES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR WAGES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless RoadTrades and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or any law; or (d) your dealings or disputes with other users.
If you have a dispute with us, please contact us first using the details in Section 34 — we will work with you in good faith to resolve it informally. Any dispute that is not resolved informally may be brought in small-claims court where eligible, or in the courts described in Section 25.
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules. Subject to Section 24, any dispute will be brought exclusively in the state or federal courts located in Warren County, Ohio, and you consent to personal jurisdiction there.
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or applicable law, or to protect the Service or other users. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including Sections 9, 16, 20–25, and 27–33) will survive.
We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or utility failures, or third-party service outages.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later.
These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and RoadTrades regarding the Service and supersede any prior agreements on that subject.
By using the Service, you consent to receive communications from us electronically (such as email or in-Service notices), and you agree that electronic communications, agreements, and records satisfy any legal requirement that such communications be in writing.
We may provide notices to you via email, the Service, or by posting on our site. You may send notices to us at the contact details below.
You agree to comply with all applicable export-control and sanctions laws and represent that you are not located in, or a resident of, any embargoed jurisdiction and are not on any restricted-party list.
